User Agreement

1. Introduction

"User" means any Person who uses the Website, Services and/or Platform, is the Account owner and has entered into this User Agreement with NaxoraTrade. "Voucher" refers to digital tokens or credits used within our platform.

The text of this User Agreement is posted on www.naxoratrade.com and contains all the main terms and conditions of the NaxoraTrade public offer, including the terms of use of the Services and the Platform.

2. Important Notice

When you create an Account or replenish your Account balance, access or use the Platform or any of the Services (each defined below), you confirm that you have read, understood and fully agree to this User Agreement, which we update and change from time to time.

3. Definition of Concepts

In addition to other terms defined in other sections of this User Agreement, the listed terms have the following meanings:

• Account – an account registered by a User on the Platform for trading and managing digital assets.
• Business day – any calendar day, except Saturday, Sunday or any other day on which credit and financial institutions are closed.
• Confidential information – information not generally known and/or not openly published on the Site.
• Digital assets – cryptocurrencies and other digital tokens.
• Platform – our trading platform and related services.
• Services – all services provided by NaxoraTrade.
• Transaction – any buy, sell, or transfer of digital assets.

Headings are for convenience only and do not affect interpretation. Words in singular include plural, and vice versa. Gender references are inclusive. "Includes", "including" implies "not limited to." "Other", "otherwise" are illustrative, not limiting.

4. The Subject of This User Agreement

The subject is provision of Services allowing Users to store and exchange Digital Assets.

NaxoraTrade provides Services including:

• Access to a Platform for storing and exchanging Digital Assets;
• Access to the Site and Account;
• Access to necessary information for performing Transactions;
• Access to payment service operators/providers for Deposits and Withdrawals.
• Customer support and technical assistance;
• Educational resources and market information.

5. Requirements and Access to Services

The User can only act on their own behalf (or corporate Account if upgraded). Services are for persons aged 18+. The User must ensure Services are allowed in their country of citizenship/residence and comply with all applicable laws.

Registration means the User declares they:

• Are of legal age;
• Have legal capacity;
• Have not been previously restricted;
• Do not hold multiple Accounts;
• Will provide accurate information;
• Will comply with all applicable laws.

6. AML/CFT Policy

NaxoraTrade enforces strict anti-money laundering and counter-terrorist financing policies. Measures include internal controls, compliance officer, staff training, verification, monitoring and internal audit.

7. Account Management

Users are responsible for maintaining the security of their accounts, including keeping login credentials confidential and reporting any unauthorized access immediately.

• Keep passwords and security credentials secure
• Enable two-factor authentication when available
• Report suspicious activity immediately
• Update contact information as needed

8. Risk Warning

Trading in digital assets involves substantial risk and is not suitable for all investors. Users should carefully consider their investment objectives and risk tolerance before trading.

• High volatility and potential for significant losses
• Regulatory changes may affect trading
• Technical risks including platform outages
• No guaranteed returns on investment

9. Intellectual Property

All content, features, and functionality of our platform are owned by NaxoraTrade and are protected by intellectual property laws.

• Platform software and technology
• Brand names, logos, and trademarks
• Content and educational materials
• User interface and design elements

10. Suspension and Termination

We reserve the right to suspend or terminate accounts that violate this agreement or engage in fraudulent or illegal activities.

• Suspicious or fraudulent activity
• Non-compliance with regulatory requirements
• Abuse of platform services

11. Liability

Our liability is limited to the extent permitted by law. We are not liable for indirect, incidental, or consequential damages.

• No liability for trading losses
• No liability for technical issues
• Force majeure events excluded

12. Dispute Resolution

Disputes will be resolved through binding arbitration in accordance with our dispute resolution procedures.

13. Final Provisions

This User Agreement (and other documents) is the entire agreement and supersedes prior versions. NaxoraTrade may amend it unilaterally, with changes effective 3 days after posting.
